9) INTELLECTUAL PROPERTY (WORK OWNERSHIP)

☐ Option B: The Service Provider retains ownership and grants the Client a licence to use the deliverables for [purpose].

10) DATA PROTECTION
Where personal data is shared, both parties agree to handle it responsibly and in line with applicable UK data protection requirements. The Client confirms they have the right to share any data provided.

11) LIABILITY (SIMPLE)
The Service Provider will perform the services with reasonable care and skill.
Neither party is liable for indirect or consequential losses.
Total liability (optional): limited to the total fees paid under this Agreement.

12) TERMINATION
Either party may end this Agreement by giving [X days] written notice.
If terminated, the Client agrees to pay for work completed up to the termination date.

13) DISPUTE RESOLUTION
If a dispute arises, both parties will try to resolve it informally first. If unresolved, they may use mediation before court proceedings (optional).
